Terms and Conditions
Welcome to Pini Innovations. These Terms & Conditions govern your use of our website and your engagement with our software design, software development, and digital application services.
By accessing our website or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.
1. Our Services
Pini Innovations provides software design, software development, web applications, digital applications, and related technology services.
The specific services, deliverables, timelines, and costs for each project will be agreed upon between Pini Innovations and the client before work begins.
We reserve the right to decline projects or services that we believe are unlawful, unethical, or outside our area of expertise.
2. Project Scope
Before a project begins, the agreed scope of work will define the services and deliverables to be provided.
Requests that fall outside the agreed scope may be treated as additional work and may result in additional fees or an adjustment to the project timeline.
Any significant changes to the project requirements after work has started may require a revised quotation or agreement.
3. Payments
All project fees, payment schedules, and applicable costs will be communicated and agreed upon before work begins.
Where an upfront payment or deposit is required, work may not begin until the agreed payment has been received.
Invoices must be paid within the agreed payment period. Failure to make payments on time may result in the suspension or delay of services.
Payments made for completed work or non-refundable project costs may not be refundable.
4. Project Timelines
Pini Innovations will make reasonable efforts to complete projects within the agreed timeframe.
Project timelines may change due to delays in receiving content, information, credentials, feedback, approvals, changes to project requirements, third-party services, technical issues, or circumstances beyond our reasonable control.
We will communicate significant delays where reasonably possible.
5. Client Responsibilities
Clients are responsible for providing accurate information, content, credentials, assets, approvals, and other materials required to complete their project.
Clients are also responsible for reviewing deliverables and providing feedback within a reasonable timeframe.
Pini Innovations is not responsible for delays caused by the client’s failure to provide required information, materials, approvals, or feedback.
6. Revisions and Changes
The number of revisions included in a project will depend on the agreed scope of work.
Revision requests should be communicated clearly and within the agreed review period.
Additional revisions, major changes, or requests that substantially alter the original project may incur additional charges.
7. Third-Party Services
Some projects may require third-party services, platforms, software, APIs, hosting providers, payment processors, plugins, or other external technologies.
These services may have their own fees, terms, limitations, and availability.
Unless otherwise agreed, the client is responsible for maintaining any third-party subscriptions or accounts required for their project.
Pini Innovations is not responsible for changes, interruptions, security issues, pricing changes, or failures caused by third-party services.
8. Intellectual Property
Unless otherwise agreed in writing, the client will receive ownership or usage rights to the final project deliverables after all outstanding project payments have been made.
Pre-existing materials, proprietary processes, frameworks, templates, tools, code libraries, and resources owned by Pini Innovations or third parties remain the property of their respective owners.
Pini Innovations may continue to use general knowledge, techniques, processes, and non-confidential components developed during a project in future work.
9. Client Materials
The client confirms that they have the necessary rights and permissions to use any content, images, logos, trademarks, text, data, software, or other materials they provide to Pini Innovations.
The client is responsible for ensuring that materials supplied to us do not infringe the rights of any third party.
10. Software and Applications
Software and digital applications may contain bugs, errors, compatibility issues, or limitations.
While Pini Innovations aims to deliver reliable and functional solutions, we do not guarantee that software will always operate without interruption or errors.
Unless specifically included in the project agreement, ongoing maintenance, updates, monitoring, security management, hosting, and technical support are not automatically included after project completion.
11. Website and Application Content
The client is responsible for ensuring that information published through their website or application is accurate, lawful, and compliant with applicable regulations.
Where applicable, the client is responsible for providing legally required documents such as privacy policies, cookie notices, disclaimers, and terms applicable to their business.
12. Confidentiality
Both parties agree to treat confidential business, technical, financial, and other non-public information received during a project as confidential.
Confidential information will not be disclosed to third parties except where necessary to provide the agreed services, required by law, or otherwise authorized by the relevant party.
13. Project Cancellation
Either party may request to terminate a project subject to the terms of the project agreement.
If a client cancels a project after work has commenced, the client may be responsible for payment for work already completed, approved expenses, and other non-refundable costs incurred up to the termination date.
Any ownership or delivery of completed work may be subject to settlement of all outstanding fees.
14. Portfolio and Promotional Use
Unless otherwise agreed in writing, Pini Innovations may display completed projects in its portfolio, website, social media, case studies, or other promotional materials.
We will make reasonable efforts not to disclose confidential information when showcasing completed work.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Pini Innovations will not be liable for indirect, incidental, consequential, or business-related losses arising from the use or inability to use our services, software, website, or applications.
